Please read these terms carefully before using therapyCRM.

1. Agreement to Terms

By accessing or using therapyCRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are healthcare providers, clients, visitors, and contributors of content.

2. Description of Service

therapyCRM provides a cloud-based practice management platform for mental health professionals, including:

  • Client relationship management (CRM)
  • Secure video conferencing for telehealth
  • Calendar and scheduling tools
  • Clinical documentation and session notes
  • Secure messaging and file storage
  • Insurance verification services
  • Professional directory listings

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. Healthcare providers must hold valid licenses in their jurisdiction.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use
  • Ensuring your account information is accurate and current

3.3 Account Types

  • Provider Accounts: For licensed healthcare professionals
  • Practice Accounts: For healthcare organizations
  • Client Accounts: For individuals receiving services

4. Subscription Plans and Payment

4.1 Plans

  • Free Plan: Limited features with advertisements
  • Premium Plan: Full features for $30/month
  • Enterprise Plan: Custom pricing for large practices

4.2 Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change prices with 30 days' notice
  • You are responsible for all applicable taxes

4.3 Free Trial

Premium plans include a 14-day free trial. You may cancel anytime during the trial without charge. After the trial, your selected plan will automatically begin.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.

5. Acceptable Use Policy

5.1 Prohibited Uses

You may not use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or malicious code
  • Harass, abuse, or harm another person
  • Spam or send unsolicited communications
  • Impersonate another person or entity
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt the Service
  • Use automated means to access the Service without permission
  • Sell or transfer your account

5.2 Professional Standards

Healthcare providers using the Service must:

  • Maintain appropriate professional licenses
  • Comply with all applicable healthcare laws and regulations
  • Obtain necessary patient consents
  • Maintain professional liability insurance
  • Follow professional ethical guidelines

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you upload to the Service ("User Content"). By uploading content, you grant us a limited license to:

  • Store, process, and display your content
  • Make backups for security purposes
  • Provide the Service to you and your authorized users

6.2 Our Property

The Service and its original content (excluding User Content) remain our property and are protected by copyright, trademark, and other laws. Our trademarks may not be used without written permission.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.

7. Privacy and Data Protection

7.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms.

7.2 HIPAA Compliance

For covered entities under HIPAA:

  • We will execute a Business Associate Agreement (BAA)
  • We maintain appropriate safeguards for Protected Health Information
  • Additional terms in the BAA supplement these Terms

7.3 Data Security

While we implement industry-standard security measures, no internet transmission is completely secure. You use the Service at your own risk.

8. Third-Party Services

The Service integrates with third-party services including:

  • Payment processors
  • Video conferencing infrastructure
  • Cloud storage providers
  • Email delivery services
  • SMS messaging providers

Your use of third-party services is subject to their terms and policies.

9. Disclaimers

9.1 No Medical Advice

therapyCRM is a practice management tool. We do not provide medical advice, diagnosis, or treatment. The Service is not a substitute for professional medical advice.

9.2 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

9.3 User Relationships

We are not responsible for interactions between users, including provider-client relationships. Providers are independent professionals, not our employees or agents.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, data, use, or goodwill
  • These limitations apply regardless of legal theory

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your professional services

12. Termination

12.1 By You

You may terminate your account at any time through account settings or by contacting support.

12.2 By Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Non-payment of fees
  • Prolonged inactivity
  • Legal requirements
  • Fraudulent or illegal activity

12.3 Effect of Termination

  • Access to the Service ceases immediately
  • We may delete your data after 30 days
  • You remain liable for fees incurred
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

We prefer to resolve disputes informally. Please contact us at legal@therapycrm.com before initiating formal proceedings.

13.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association, except you may assert claims in small claims court if eligible.

13.3 Class Action Waiver

You may only resolve disputes with us individually and may not bring class, collective, or representative actions.

14. General Terms

14.1 Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

14.2 Entire Agreement

These Terms, including the Privacy Policy and any BAA, constitute the entire agreement between you and therapyCRM.

14.3 Modifications

We may modify these Terms at any time. Material changes will be notified via email or Service announcement. Continued use after changes constitutes acceptance.

14.4 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

14.5 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

14.6 Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor or acquirer.
